Terms of Service

These Terms of Service (“Terms”) govern your access to and use of https://quodel.com (the “Site”) operated by Quodel Technologies LTD (“Quodel”, “we”, “us”, or “our”), and the general conditions under which we provide web development, website management, SEO, cybersecurity, and related digital services (the “Services”).
By using the Site or engaging Quodel for Services, you agree to these Terms. If you do not agree, do not use the Site or purchase Services.
A signed proposal, statement of work, invoice, or other written agreement for a specific project (“Project Agreement”) controls if it conflicts with these Terms for that engagement.

2. The Site
The Site provides information about Quodel, our Services, case studies, pricing guidance, and promotional offers such as Website in 7 Days. Content on the Site is for general information. It is not a binding quote until we confirm scope, price, and timing in writing.
You agree to use the Site only for lawful purposes. You must not:
- Violate applicable laws or regulations
- Attempt unauthorized access to our systems or other users’ data
- Interfere with or disrupt the Site
- Submit false, misleading, or harmful content through forms
- Scrape or harvest contact details for spam
We may suspend or block access if these Terms are violated.
3. No accounts required for browsing
You do not need an account to browse the Site. Forms on the Site (contact, claim slot, newsletter) collect the information described in our Privacy Policy so we can respond or deliver Services.
4. Services and Project Agreements
Quodel provides custom and managed digital Services. Deliverables, timelines, fees, revision limits, and acceptance criteria are defined in the Project Agreement for each engagement.
Promotional offers (including Website in 7 Days at the stated fixed price) are subject to slot availability, eligibility, and the inclusions listed on the offer page. We may close, pause, or change a promotional round when slots fill or when we publish an update.
You agree to:
- Provide accurate information and timely feedback
- Supply brand assets, content, and access needed for delivery
- Obtain rights to materials you ask us to use
- Designate a decision-maker for approvals
Delays in client input may extend timelines. We are not responsible for third-party outages (domain registrars, hosting providers, payment rails, or messaging platforms) outside our control.
5. Fees, payment, and refunds
Fees, deposit schedules, and payment methods appear in your Project Agreement or invoice. Unless stated otherwise, invoices are due by the date shown. Late payment may pause work until the account is current.
Prices on the Site (including promotional prices such as ₦49,999 for Website in 7 Days) are in Nigerian Naira unless we state another currency. Taxes, domain renewals after any included period, hosting, and add-ons may be charged separately when disclosed.
Refunds follow the Project Agreement. Where work has started on a fixed-scope offer, fees for completed stages are generally non-refundable. If we cancel a project before kickoff for reasons other than your breach, we will refund amounts paid for undelivered work.
6. Intellectual property
Quodel and its licensors own the Site, our branding, pre-existing tools, frameworks, templates, and know-how. Upon full payment for a project, you receive the rights to custom deliverables described in the Project Agreement (typically ownership or a perpetual license to use the finished site or application for your business).
We retain rights to our pre-existing libraries, internal tooling, and general methods. We may display completed public work in our portfolio and case studies unless your Project Agreement requires confidentiality that forbids it.
You keep ownership of content and materials you supply. You grant Quodel a limited license to use those materials solely to perform the Services.
7. Acceptable use of deliverables
You are responsible for how you use sites and applications we deliver, including compliance with advertising, consumer, privacy, and sector rules that apply to your organization. You must not use our Services to distribute malware, commit fraud, or infringe third-party rights.
8. Third-party services
We may recommend or integrate third-party tools (hosting, domains, analytics, payment providers, WhatsApp, and similar). Your use of those tools is governed by their terms. We are not responsible for their availability, pricing changes, or privacy practices.
9. Privacy
Our collection and use of personal information is described in the Privacy Policy, which forms part of these Terms.
10. Disclaimers
THE SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” TO THE FULLEST EXTENT PERMITTED BY LAW. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE A PROJECT AGREEMENT EXPRESSLY STATES OTHERWISE.
We do not guarantee that:
- The Site will be uninterrupted or error-free
- Search rankings or traffic targets will be achieved (SEO outcomes vary)
- Security measures eliminate all risk of breach
- Third-party platforms will remain compatible without changes
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, QUODEL SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE OR A SPECIFIC ENGAGEMENT SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO QUODEL FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) FIFTY THOUSAND NAIRA (₦50,000) FOR CLAIMS RELATED ONLY TO USE OF THE SITE WITH NO PAID ENGAGEMENT.
Nothing in these Terms excludes liability that cannot be excluded under Nigerian law (including fraud or death/personal injury caused by negligence where such exclusion is unlawful).
12. Indemnity
You agree to indemnify and hold harmless Quodel and its officers, employees, and contractors from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Site or Services, your content, or your breach of these Terms or a Project Agreement, except to the extent caused by our willful misconduct.
13. Termination
You may stop using the Site at any time. Either party may end a Project Agreement as stated in that agreement. We may suspend Services for non-payment or material breach. On termination, rights granted for unpaid work may be revoked, and sections that by nature should survive (IP ownership for paid work, liability limits, indemnity, governing law) will survive.
14. Changes to Terms
We may update these Terms by posting a revised version on the Site with a new effective date. Continued use of the Site after changes constitutes acceptance. Material changes to active Project Agreements require mutual written agreement unless the Project Agreement says otherwise.
15. Force majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including natural disasters, war, civil unrest, epidemic, government action, widespread internet or power failures, or supplier outages, provided the affected party gives prompt notice and resumes performance when practicable.
16. Governing law and disputes
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law rules. Courts located in Nigeria have exclusive jurisdiction over disputes arising from these Terms or the Site, unless a Project Agreement names a different venue for that engagement.
Before filing a claim, you agree to contact us at info@quodel.com and attempt good-faith resolution for at least thirty (30) days.
17. General
If a provision is held unenforceable, the remaining provisions stay in effect. These Terms, the Privacy Policy, and any Project Agreement are the entire agreement between you and Quodel regarding the Site and the relevant Services. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganization, or sale of assets.
